Description of products and services: Etrovvo provides (1) B2B SaaS tools for merchants—including hosted online stores, inventory, pricing, customer engagement, AI-assisted operations, and optional marketplace listing—and (2) a B2C marketplace where consumers discover and purchase products from participating merchants. Merchants may sell physical and digital goods subject to applicable law and our Acceptable Use Policy below.

Refund and return policy (summary): End-customer refunds for marketplace or store purchases are handled by the selling merchant according to the merchant’s published return policy and applicable consumer law. Etrovvo SaaS plan changes are made on the billing page in your dashboard; your payment method, invoices and cancellation are managed in “Manage billing” (the Stripe Customer Portal); subscription refund requests go to hello@etrovvo.com. See Sections 6 and 7 below.

Subscription cancellation: Merchants may cancel paid SaaS plans through the Stripe Customer Portal (“Manage billing”) or by contacting hello@etrovvo.com. Cancellation stops future charges; access may continue until the end of the paid period unless otherwise stated at cancellation.

Prohibited businesses: Merchants may not use Etrovvo for illegal products or services or for categories prohibited by Stripe, PayPal, or other payment providers. See Section 8.

1. Agreement to These Terms

By accessing or using etrovvo.com, app.etrovvo.com, or related services (the “Platform”), you agree to these Terms of Service (“Terms”) and our Privacy Policy at https://etrovvo.com/privacy. If you do not agree, do not use the Platform.

If you use the Platform on behalf of a business, you represent that you have authority to bind that business.

2. Eligibility

You must be at least eighteen (18) years old and able to form a binding contract. Merchants must provide accurate business and identity information required for verification, tax, and payment processing.

3. The Platform

3.1 Merchant (B2B) Services Merchants receive tools to create and operate online stores, manage catalog and orders, connect payment methods (including Stripe Connect where available), and optionally participate in the Etrovvo marketplace.

3.2 Consumer (B2C) Marketplace Consumers may browse and purchase from participating merchants. Etrovvo is a platform provider. You are the seller and merchant of record for every sale made through your own store. The only exception is an order placed on the Etrovvo B2C marketplace (etrovvo.com) in a country where we operate it, where Etrovvo is the merchant of record for that order and says so at checkout. Marketplace checkout is paused until Etrovvo has a payment provider that splits each payment at the moment of purchase; sales on merchants' own stores are not affected, and marketplace orders already paid are completed and paid out under these Terms.

3.3 Changes to Services We may add, modify, or discontinue features with reasonable notice where practicable.

3.4 Your stores and your end customers Your store and the people who buy from it ("your end customers") are part of your operation and your responsibility. Etrovvo provides the technology, hosting, and payment processing; on your own-store sales, Etrovvo is not the seller of the products and not a party to the contract between you and your end customer. For the avoidance of doubt, Etrovvo has no responsibility for your store, your content, the goods or services you sell, or any aspect of the transaction between you and your end customer — including the quality, safety, legality, description, pricing, availability, or delivery of what you sell, and including any claim, injury, or loss arising from it. As a merchant, you are responsible for: (a) publishing and honoring your own terms of use, privacy policy, and returns/exchange policy toward your end customers; (b) complying with the consumer- and data-protection laws that apply to them — acting as the controller of your end customers' data, while Etrovvo acts as a processor handling that data on your behalf to operate the Platform; and (c) support, communications, and dispute resolution with your end customers. These Terms govern the relationship between Etrovvo and you (the merchant) and do not create any relationship or rights between Etrovvo and your end customers. You will indemnify Etrovvo for claims by your end customers arising from your store, as set out in Section 13. Purchases made on Etrovvo's B2C marketplace are additionally governed by the Marketplace Conditions (etrovvo.com/marketplace-terms).

4. Accounts and Security

You are responsible for safeguarding credentials and for activity under your account. Notify us promptly at hello@etrovvo.com of unauthorized use.

5. Fees and SaaS Subscriptions

5.1 Plan Fees and Sales Fees Subscription. Paid plans (Forge, Ascend, The Legend) are billed in advance on a monthly or annual cycle through Stripe Checkout on our platform Stripe account.

Sales fees. On each completed sale, Etrovvo retains a platform commission and, in addition, the payment processor's fee is deducted from your payout: (a) Storefront (your own store) commission — Free plan: 10% of the merchandise value; paid plans (Forge, Ascend, The Legend, Enterprise): 0% (these plans are monetized through the subscription). Sales charged on your own Rebill account (Section 6.4) carry no storefront commission on any plan. (b) Marketplace commission — Free: 12%; Forge: 9%; Ascend: 7%; The Legend and Enterprise: 5% of the merchandise value. (c) Payment processing fee — in addition to the commission above, the fee charged by Etrovvo's payment processor applies to each sale, on every plan including Free. This fee is the payment processor's own charge for handling the transaction; it is not an Etrovvo commission. This processing fee is set by the payment processor and varies by country and by payment method. By default it is deducted from your payout, and the exact amount per transaction appears in your payout and transaction records in your merchant dashboard (it does not change the price the buyer pays). Alternatively, for sales through your own storefront, you may choose to pass this fee to the buyer, in which case an estimated amount is added to the order total at checkout and you receive the full sale amount; this option does not apply to marketplace sales, where the processing fee follows the default above. Etrovvo may change its payment processor(s) at any time, including on a per-country basis, in pursuit of better rates, conditions, and payment methods, and the applicable processing fee may change accordingly.

Fee base. The commission and the processing fee apply to the merchandise value (after any discount). They do not apply to shipping or taxes, which are pass-throughs; on a sale that Etrovvo collects, shipping collected from the buyer is retained by Etrovvo to pay the carrier, so you are paid for merchandise only; on a sale charged on your own Rebill account (Section 6.4), the shipping paid by the buyer settles in your Rebill balance together with the sale. The percentages above are those in effect on the Effective Date of these Terms and are also shown at https://etrovvo.com/pricing, at checkout, and in your billing settings.

Payout timing. Proceeds from a sale that Etrovvo collects (net of the fees above) are held until delivery is confirmed plus a holding period (currently 10 days), after which you release the payout from your dashboard. Availability also depends on your registered payout details and country. Sales charged directly on your own Rebill account (Section 6.4) or Stripe account (Section 5.4) are not held by Etrovvo.

Fees follow the sale. Storefront and marketplace commissions are determined by the plan in effect at the time each sale is completed. Changing plans does not retroactively change fees on prior sales: sales completed while on the Free plan keep the Free-plan fee even if you upgrade afterward (including before the related payout is released), and upgrading lowers fees only on sales completed after the upgrade takes effect.

5.2 Taxes Fees may exclude applicable taxes, which we collect or remit where required.

5.3 Failed Payment If payment fails, we may suspend paid features after notice.

5.4 Direct-Charge Stores (United States and United Kingdom) This Section applies to a merchant whose store country is the United States or the United Kingdom, and prevails over the Business Website Disclosures above and over Sections 5.1 and 9.4 where they differ. (a) Two ways to pay. Selling through your store requires choosing, in your billing settings, one of two options: (i) Monthly plan: a Forge, Ascend or The Legend subscription, billed monthly or annually in advance, with no per-sale fee; or (ii) Pay when you sell: no subscription fee and a per-sale fee, with your plan set as described in (h). There is no Free plan. Until you choose an option, your storefront displays your catalog but does not accept orders. Choosing Pay when you sell records your acceptance of (b) and (h). (b) Per-sale fee. With a Monthly plan, Etrovvo charges no per-sale fee. With Pay when you sell, on each sale completed through your storefront, Etrovvo charges a fee on the merchandise value (after any discount), never on shipping or taxes: 5% on Forge, 4.5% on Ascend and 4% on The Legend. The fee follows the option and plan in effect when the sale is completed. It is deducted from that sale on your Stripe account and transferred to Etrovvo by Stripe as an application fee. If you refund a sale in full or in part, Etrovvo returns the fee on the refunded amount; any shipping amount already used to buy a carrier label is not returned. The rates and thresholds in this Section are those in effect on the Effective Date of these Terms and are also shown at https://etrovvo.com/pricing and in your billing settings. (c) Your own Stripe account. Each sale is charged directly on your own Stripe account (Stripe Connect), which you connect from your dashboard. Etrovvo never receives or holds those funds, other than its per-sale fee under (b) when you Pay when you sell, and any shipping amount it collects from the buyer to purchase a carrier label on your behalf where that service is offered (Section 5.1, Fee base). Stripe's processing fees are charged to your Stripe account under your agreement with Stripe, and Stripe — not Etrovvo — determines when your balance is paid out to your bank account. The holding period and merchant-released payout in Section 5.1, and the settlement period in Section 9.4, do not apply to these sales. (d) Refunds, returns and chargebacks. You are solely responsible for refunds, returns and chargebacks on these sales and for their costs. Refunds are issued from your dashboard (in full or in part, at any time while the order is paid) and are funded from your own Stripe balance; a refund also runs from that balance when a buyer cancels an unshipped order from their account or when you refund an approved return from your dashboard. Chargebacks are debited from that balance by Stripe and answered through the dispute tools in your dashboard, under Stripe's rules and timelines. Etrovvo cannot fund, advance or guarantee any refund, return cost or chargeback on your behalf. This does not limit your customer's mandatory rights under applicable consumer law. (e) Sales tax and VAT. You are the merchant of record and are solely responsible for registering for, collecting, reporting and remitting any sales tax, use tax or VAT that applies to your sales. Where you list a jurisdiction in your tax settings, Etrovvo calculates the tax at checkout and adds it as a separate line — in the United States normally using Stripe Tax on your Stripe account, which then records the transaction there, and Stripe's charge for that calculation is billed to your Stripe account; where that calculation is unavailable, the tax is calculated from a state-level rate and appears in your dashboard tax report. Where you list none, no tax is added. Etrovvo does not file or remit tax on your behalf. (f) Marketplace. The Etrovvo B2C marketplace does not operate in these countries; your sales take place on your own storefront only. (g) Connected Account Data and Activity. Your Stripe account is a Stripe connected account of Etrovvo's platform, and the Stripe Connected Account Agreement (https://stripe.com/legal/connect-account) applies to it, as you accepted during Stripe's setup. "Connected Account Data" and "Activity" have the meanings given in the Stripe Connect Infrastructure Terms. Etrovvo accesses your connected account through Stripe's APIs with platform credentials and uses Connected Account Data to create, confirm and cancel payments on your behalf, to issue refunds you or your buyer initiate as described above, to calculate any sales tax through Stripe Tax, to show balances, payouts, disputes and account requirements in your dashboard, to submit dispute evidence you provide, to detect and prevent fraud and abuse, and to meet Etrovvo's own legal and reporting obligations. You expressly authorize Etrovvo to perform that Activity on your behalf and to share Connected Account Data with Stripe. (h) Your plan when you pay only when you sell. With Pay when you sell you do not choose your plan: your store's monthly sales set it. Monthly sales means the merchandise value of paid orders placed in a calendar month, in your store's time zone, net of refunds and excluding shipping and taxes. (1) Start. A store starts on Forge. A store switching from a Monthly plan starts on the plan that its last completed month reaches, and (3) applies. (2) Moving up. When a completed month's sales reach US$2,700, your store moves to Ascend; when they reach US$10,500, to The Legend. The change takes effect on the first day of the following month. (3) Confirming a move up. After a move up, your store keeps the new plan for the next two full calendar months; from the end of the second of them, (4) applies. If, during those two months, refunds bring the month that moved your store up below the new plan's threshold, the move up is reversed on the first day of the following month, and your store moves to the plan that month, or the last completed month, reaches, whichever is higher. (4) Moving down. When the average sales of the last two completed months fall below your plan's threshold, your store moves to the plan that average reaches, on the first day of the following month. If the last completed month alone reaches your plan's threshold, your store keeps its plan and (3) applies again. (5) United Kingdom. Thresholds are set in US dollars. For stores in the United Kingdom, sales in pounds sterling are compared with the thresholds converted at the exchange rate on the day of the calculation. (6) Notices. We email you each change of plan, with the figures behind it, and around the 20th of any month in which your store is on course to move down. Your billing settings show your plan and your progress at all times. (7) Effect. A change of plan changes the per-sale fee and the features available from the date it takes effect. Fees on sales completed before that date do not change. (i) Switching between options. A switch from Pay when you sell to a Monthly plan takes effect once the subscription is paid. A switch from a Monthly plan to Pay when you sell takes effect at the end of the subscription period you have already paid for, without a partial refund.

6. Refunds and Returns

6.1 Marketplace and Store Purchases (End Customers) Refunds, returns, and exchanges for products bought from a merchant are the responsibility of that merchant, not of Etrovvo. Where the merchant receives payment directly into their own payment account — which is how stores on the direct-charge rail operate, including the United States and the United Kingdom — Etrovvo never holds those funds and cannot approve, fund, advance, or guarantee any refund on the merchant's behalf. Refunds on Etrovvo B2C marketplace orders are handled by Etrovvo under the Marketplace Conditions, because there Etrovvo does hold the funds. Merchants must publish a clear return/refund policy on their storefront (for example at /your-store/p/returns). Etrovvo does not guarantee merchant policies.

Return shipping (reverse logistics): when an eligible return requires return transport, the reverse label is issued by Etrovvo and its cost is borne entirely by the merchant (Seller) — deducted from the merchant's payout, or, where the merchant receives funds directly (Section 6.4), owed by and charged to the merchant. The buyer does not pay return shipping.

If you are a consumer with an order issue, contact the merchant first. If you cannot resolve the issue, contact hello@etrovvo.com with your order details and we will help route the request.

6.2 Etrovvo SaaS Subscription (Merchants) If you believe you were charged in error for an Etrovvo subscription, contact hello@etrovvo.com within thirty (30) days of the charge. Approved refunds are processed through Stripe to the original payment method where possible. Nothing in this section limits mandatory consumer rights in your jurisdiction.

6.3 Chargebacks Initiating a chargeback without contacting us first may delay resolution. We provide transaction information to payment processors to respond to disputes.

6.4 Direct Receipt (Latin America) In the Latin American countries where your store sells through Rebill (Brazil, Mexico, Argentina, Colombia and Chile), sales on your own storefront are charged on your own Rebill account, which you connect from your dashboard: the buyer's payment settles in your Rebill balance, and Rebill — not Etrovvo — pays it out to your bank account. Etrovvo does not hold your share of these sales, and the holding period and merchant-released payout in Section 5.1 and the settlement period in Section 9.4 do not apply to them. For these orders you are solely responsible for refunds, returns, chargebacks, and their costs, funded from your own Rebill balance and governed by Rebill's rules. Refunds are issued from your dashboard and run on your Rebill account. You ship these orders yourself: Etrovvo does not buy the carrier label or the return label for them; you buy it from your carrier and record the carrier and tracking code on the order. Etrovvo cannot fund, advance, or guarantee any refund, return cost, or chargeback on your behalf. You must keep sufficient balance with Rebill to cover them; if your balance is insufficient — for example because you have already withdrawn the funds — you remain liable for the amount, must settle it, and we may charge it to you separately. This does not limit your customer's mandatory rights under applicable consumer law.

7. Subscription Cancellation and Changes

7.1 Self-Service If you pay a monthly or yearly subscription, you change your plan on the billing page in your dashboard. An upgrade is charged at once: the full difference between the price of the new plan and the price of your current plan for your billing interval, not prorated for the time left in the period, to a card: the card on your subscription or, if your subscription is paid another way, the default card on file. An upgrade needs a card on file. The new plan starts as soon as that charge is paid; if the charge fails, your plan does not change. A downgrade takes effect at the end of the period you have already paid for, without a partial refund, and you can cancel it on the billing page until then. “Manage billing” in the dashboard (the Stripe Customer Portal) is where you update your payment method, see your invoices, or cancel; plans are not changed there.

7.2 Effect of Cancellation Cancellation prevents renewal charges. Unless required by law or your plan terms, fees already paid are non-refundable and access continues through the current billing period.

7.3 Downgrade If you pay a monthly or yearly subscription, a downgrade takes effect at the end of the period you have already paid for (Section 7.1). Until then you keep the features and limits of your current plan; from then on, those of the new plan apply.

8. Acceptable Use and Prohibited Businesses

Certain products and services are not permitted on the Platform — both under our own policy and under the rules of the licensed payment providers that process sales. You may not use the Platform, and your store may not list, promote, or sell, any product, service, or business in a prohibited category, including (without limitation):

Prohibited: illegal drugs, drug paraphernalia, marijuana, and substances that mimic illegal drugs; pharmaceuticals, prescription medicines, medical devices, and medical or health services; tobacco, e-cigarettes, vaping, and smoking supplies; weapons, ammunition, and explosives; alcohol; gambling, betting, casinos, lotteries, and games of chance or skill for money; adult or sexually explicit content, pornography, escort or fetish services, and dating services; counterfeit, replica, or intellectual-property-infringing goods, devices that circumvent copyright, and unlicensed streaming; unlicensed or regulated financial services (money transfer or remittance, lending, buy-now-pay-later, credit repair, debt collection, resellable e-money, CFDs, or financial spread betting), cryptocurrency and digital assets (including NFTs); multi-level marketing, pyramid or Ponzi schemes, chain letters, and financial scams; charities, crowdfunding, and donations; real estate, timeshare, art dealers and auctions, cloud storage, VPN, and file-sharing; motor-vehicle sales; fine or luxury jewelry, precious metals, precious stones, luxury watches, and silverware; content that promotes hate, violence, discrimination, or terrorism; and anything illegal under applicable law.

Costume and fashion jewelry and other low-value, non-precious accessories are allowed as general retail — the jewelry restriction applies to precious metals, precious stones, and luxury pieces, not to low-price non-precious accessories. Some additional categories may be permitted only with our prior written approval and are not available by default.

Your store must accurately declare the category of products it sells (using the store category selector) and keep its public storefront truthful. Stores that sell prohibited, illegal, counterfeit, or scam products, or that misrepresent what they sell, will be SUSPENDED or BANNED without prior notice and may be reported to the relevant authorities and payment providers. We may suspend or terminate any account that violates this section or that creates undue risk for our payment providers.

9. Payments and Stripe

9.1 Platform SaaS Billing Etrovvo’s own subscription charges are processed by Stripe, Inc. on the platform account. Your use of paid Etrovvo plans is also subject to Stripe’s services agreement and applicable card network rules for card payments.

9.2 Merchant Payment Processing Merchants connecting Stripe to receive customer payments enter a separate relationship with Stripe (including Stripe Connect where enabled). Etrovvo is not the merchant of record for end-customer product charges unless explicitly identified in the checkout flow.

9.3 PCI and Card Data We do not store full payment card numbers on our servers for platform checkout; Stripe processes card data under its compliance program.

9.4 Payouts Stores receive their sales through the payment account connected to the store: Rebill in Latin America and Stripe (Stripe Connect) in the United States and the United Kingdom. Storefront sales charged on your own Rebill account are governed by Section 6.4, and storefront sales on the direct-charge rail by Section 5.4; no holding, release or settlement period by Etrovvo applies to them. Proceeds from a sale that Etrovvo collects, such as a marketplace sale, are held and then released as described in Section 5.1, and are subject to a processing and settlement period before they become available to you for payout or withdrawal — a minimum of 7 days from the date of sale, and potentially longer depending on the payment method, your registered payout details, account status, and region.

10. Intellectual Property

Etrovvo retains rights in the Platform, brand, and software. Merchants retain rights in their content and grant us a license to host, display, and process it to operate the Platform.

10.1 Merchant Content and Intellectual-Property Complaints (a) Your content. You are solely responsible for the content you publish on your store or otherwise through the Platform, including product photos, names, descriptions, logos and brands, and content you create with the Platform's tools or AI features and choose to publish; this does not include material that Etrovvo itself supplies as part of a theme or template. You represent that you own that content or hold every right, license and permission needed to publish it and to sell the products it shows. Etrovvo has no obligation to review content before or after it is published. Any review we do, including the review of a store before it starts selling, does not check whether you hold the rights to your content and does not make Etrovvo responsible for it; as set out in Section 3.4, Etrovvo is not responsible for it. (b) Reporting content. Anyone who believes that content on a store infringes their copyright, trademark or other intellectual-property right, or that a store offers counterfeit goods, may notify Etrovvo at hello@etrovvo.com. The notice must include: (1) the sender's name and contact details and, when acting for the rights holder, on whose behalf; (2) the right claimed to be infringed, such as the work or the registered trademark; (3) the address (URL) of the store page or product where the content appears; and (4) a statement that the sender believes in good faith that the use is not authorized by the rights holder or by law, and that the information in the notice is accurate. We may ask for more information and may decline to act on an incomplete notice. (c) What we may do. On receiving a notice, Etrovvo may, at its discretion, remove or disable access to the content concerned, suspend your store, or both, while it evaluates the notice. We may forward the notice to you, including the sender's contact details. Our evaluation decides only what happens to the content and the store on the Platform; it does not decide who holds the right, which remains a matter between the sender and you. (d) Your response. You may answer a notice by writing to hello@etrovvo.com with your explanation and any evidence of your rights or authorization, such as a license from the rights holder. After evaluating the notice and any response, Etrovvo may restore the content or the store, keep them removed or suspended, or take the measures in (e). (e) Repeated or serious infringement. Etrovvo may block or terminate your store and your account if you infringe repeatedly or seriously, and in clear cases may do so without prior notice. Stores that sell counterfeit goods are also subject to Section 8, and Section 14 also applies. (f) Indemnity. Your indemnity in Section 13 covers third-party claims about your content.

11. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ETROVVO DOES NOT MANUFACTURE, INSPECT, STOCK, OR SELL THE PRODUCTS OFFERED IN MERCHANT STORES, AND MAKES NO WARRANTY ABOUT THEM. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL LIABILITY FOR THOSE PRODUCTS AND FOR ANY DISPUTE BETWEEN A MERCHANT AND AN END CUSTOMER.

Nothing in this Section removes a right that applicable consumer law gives an end customer and does not permit to be removed by contract. Where such law makes a platform responsible regardless of this Section, that law prevails.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZSHOPPER TECHNOLOGIES INC. AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, ARISING FROM YOUR USE OF THE PLATFORM. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID TO ETROVVO FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted by law.

13. Indemnity

You will indemnify and hold harmless EzShopper Technologies Inc. from claims arising from your content, your sales, your breach of these Terms, or your violation of law, except to the extent caused by our gross negligence or willful misconduct.

14. Suspension and Termination

We may suspend or terminate access for breach, risk, non-payment, or legal requirement. You may stop using the Platform at any time. Provisions that by nature should survive will survive termination.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, except where mandatory consumer protection laws of your country of residence apply.

Before formal proceedings, contact hello@etrovvo.com to attempt informal resolution.

16. Changes to These Terms

We may update these Terms by posting a revised version with a new Effective Date and, where required, notifying account holders by email. Continued use after the effective date constitutes acceptance.
